Terms R1.2

OmbraProp terms of service. Version 2026-10-24.v1 (pre-launch), for ruleset R1.2. Last updated: 24 October 2026 (see the change log). Section 18 (planned live accounts) was added on 19 October 2026 and is not available at launch.

Launching soon. Sales open at launch. These terms will apply to evaluations bought once it opens.

These terms are the agreement between you and us when you buy an OmbraProp evaluation. They are written to be read. Please read them, the rules (ruleset R1.2), the refund and cancellation policy, the risk disclosure and the privacy notice before you buy. If anything is unclear, email prop@ombratrading.com before you pay.

Nothing in these terms takes away your legal rights as a consumer.

1. Who we are

OmbraProp is a service of Ombra Trading Ltd, a company registered in England and Wales, company number 17531482, registered office 71-75 Shelton Street, Covent Garden, London WC2H 9JQ.

Your contract is with Ombra Trading Ltd.

Ombra Trading also makes Ombra Platform and Ombra Watch, which are trading software. OmbraProp keeps its own records in its own database. OmbraProp never receives data about Ombra Platform or Ombra Watch customers unless you choose to link your accounts; linking shares only your sign-in identity and email (see the privacy notice).

Contact: prop@ombratrading.com. Postal address: 71-75 Shelton Street, Covent Garden, London WC2H 9JQ (registered office of Ombra Trading Ltd).

2. What OmbraProp is

  1. A simulated trading evaluation. You buy access to a simulated futures trading account on a third-party trading platform. You try to reach a profit target while keeping within the rules.
  2. A simulated funded account. If you pass, you are given a second simulated account (the "funded account"). It is also simulated. It is called funded because passing gives you access to it, not because it holds real money.
  3. No real money is traded and no capital is given to you. Your orders never reach a real market. You never trade our money or anyone else's, we never give you money to trade, and we never trade on your behalf. Simulated results can differ from what would happen in a real market. Section 18 describes a planned live programme, which is not available at launch.
  4. Fees are not deposits. The fee you pay is a fee for a service. It is not a deposit, it is not held for you, it is not invested, and it is not returned when you pass or fail, except as set out in section 7 and the refund policy.
  5. Payouts are performance rewards. A "payout" is a reward that we pay you from our own money when your funded account meets the conditions in the rules and these terms. It is not a share of real trading profits, wages, a salary or a return on an investment. You have no right to any payout except as set out in these terms. When a payout request meets every condition, we pay it: we do not refuse a payout except for a breach listed in section 8, with the evidence sent to you.
  6. Not advice. We do not give investment, financial, tax or legal advice, do not recommend trades and do not manage money.
  7. Not regulated. OmbraProp is not authorised or regulated by the Financial Conduct Authority. Fees and payouts are not protected by the Financial Services Compensation Scheme.

3. Who can use OmbraProp

To buy an evaluation and use OmbraProp you must:

  1. be at least 18 years old;
  2. be an individual buying for yourself, not for a business, a group or someone else;
  3. live in a country we serve. We do not serve residents of any country or region under UK, United Nations, European Union or United States sanctions that would stop us serving you. The full list of countries we do not serve will be published on the rules page before OmbraProp opens. If we add a country to the list, it does not affect an evaluation or funded account you already hold, unless the law or a sanction requires it (see section 9.7);
  4. not be a person, or connected with a country or region, subject to UK, United Nations, European Union or United States sanctions;
  5. give us true, complete information, and keep it up to date;
  6. pass our identity check (section 10) before your first funded account and before your first payout;
  7. hold only one OmbraProp customer account. One person, one identity.

We may refuse a sale, or refund and close an account, if any of these is not met. If we refuse or close for this reason before you have placed a trade, we refund your fee in full.

4. Plans and fees

PlanAccount sizeFee (one-time)Main features
Standard25K$85No daily loss limit. 50% consistency rule in the evaluation
Standard50K$129No daily loss limit. 50% consistency rule in the evaluation
Express25K$115Can be passed in one trading day. No daily loss limit
Express50K$169Can be passed in one trading day. Sold with or without a $1,200 daily loss limit, at the same price: you choose when you buy
  1. The fee is one-time. There is no monthly subscription, no activation fee for the funded account, no data fee and no other fee to keep the account. Any fee is shown before you pay.
  2. The fee covers one evaluation and, if you pass, one funded account for that plan and size. On Express 50K, your choice of daily loss limit (with or without) applies to the evaluation and the funded account, and cannot be changed after you buy.
  3. Prices are in US dollars and include any VAT or other sales tax that we must charge. Your bank may add a currency conversion fee.
  4. Card payments are taken by a separate payment processor, to be confirmed before OmbraProp opens. You can also pay in crypto (USDT, USDC, BTC or ETH) through NOWPayments, which runs the crypto payment page (section 7.5). Neither is the payment account used for Ombra Platform or Ombra Watch. Your receipt comes by email.
  5. We may change prices for new purchases at any time. A price change never affects an evaluation you have already bought.
  6. At launch we sell at most 75 evaluations in a calendar month. When that number is reached, sales reopen the next month.
  7. Full rule numbers for each plan (profit target, maximum loss, contract limits, payout conditions and so on) are in ruleset R1.2. In short, for both plans: profit target $1,250 (25K) or $3,000 (50K); end-of-day trailing maximum loss $1,000 (25K) or $2,000 (50K); maximum contracts 2 minis or 20 micros (25K), 4 minis or 40 micros (50K).

5. The rules

  1. Ruleset R1.2 is part of these terms. The rules published at /prop/rules as ruleset R1.2 form part of this agreement. If the rules and these terms conflict, these terms apply, unless the rule is more favourable to you.
  2. Your rules are fixed. Each account shows the ruleset version it was bought under. That version applies to your evaluation and to the funded account that comes from it, for the life of both. We never change the rules of an account you have already paid for to your disadvantage.
  3. Changes for new purchases. We may publish a new ruleset for new purchases. We will publish it at least 14 days before it applies, with a list of changes. Old versions stay published.
  4. Changes in your favour. We may apply a change that is only to your benefit (for example a higher limit) to existing accounts. We will tell you.
  5. Changes we cannot avoid. If the law, a sanction, a regulator or our trading platform makes it impossible to keep providing your account under its ruleset (for example a product is withdrawn by the platform), we will tell you as soon as we can. You may then choose either to continue under the closest rules we can offer, or to close the account and receive a full refund of the fee for that account. Any payout already approved is still paid.
  6. Software enforcement. The rules are checked by software using the account balance and profit and loss reported by the trading platform. If the platform let a trade through and the trade was within the rules, it counts.

6. Your OmbraProp account

  1. You are responsible for keeping your login details secure. Do not share them. Tell us at once if you think someone else has used your account.
  2. Only you may trade your evaluation and funded accounts.
  3. How many accounts you may hold. You may hold up to 5 evaluations at the same time, and 1 funded account (section 11.3). An evaluation you have passed counts towards the 5 until its funded account is issued. We will not sell you a sixth evaluation while you hold 5.
  4. The trading platform and market data. To use your accounts you must accept the trading platform's own terms and the exchange market data agreement it shows you, and keep to them. You must answer its questions about your market data status (professional or non-professional) truthfully. If you are a professional user under exchange rules, tell us before you buy, because the accounts are priced for non-professional users.
  5. Your own software. If you use a trade copier, bot, algorithm or any other software, you are responsible for what it does. A trade it places counts as your trade. A fault in your own software, equipment or connection is not a platform fault under section 9.6.
  6. If you also use Ombra Platform or Ombra Watch, you can choose to link your OmbraProp account to them so that you use one sign-in. Linking is optional, and you can unlink at any time. The privacy notice says exactly what is shared.
  7. You may close your customer account at any time by emailing us. Closing it ends any evaluation or funded account you hold. Approved payouts are still paid. Fees are refunded only under section 7.

7. Cancellation and refunds

7.1 Your 14-day right to cancel

As a consumer you have a legal right to cancel within 14 days of the day you buy, without giving a reason.

7.2 Starting straight away

Your evaluation account is made available straight away after payment. The evaluation starts when you place your first trade on it.

At checkout we ask you to confirm the following. You cannot buy without ticking the box:

I want my OmbraProp evaluation to start straight away. I understand that once I place my first trade on the evaluation account, I lose my right to cancel and get a refund under the 14-day cancellation period, except as set out in the OmbraProp refund policy.

We repeat your consent and this acknowledgement in the confirmation email, which we send when you buy and before you can log in to the evaluation account.

7.3 What this means in practice

  1. No trade placed: you may cancel within 14 days of buying for a full refund. Email prop@ombratrading.com from the address you bought with, or use the cancellation form in the refund policy. You do not have to give a reason.
  2. Trade placed: once you have placed your first trade, the 14-day right to cancel no longer applies, because you asked to start straight away and agreed to lose it. The fee is not refunded when you pass or fail.
  3. Refunds we always give: whatever the timing, we refund the fee in full where section 5.5 applies, where a platform fault applies (section 9.6), where section 14 says so, or where the law requires it.
  4. Refunds of card payments go back to the card you paid with, within 14 days of your request, and usually within 5 business days. Refunds of crypto payments are made as set out in section 7.5.

The refund policy sets this out in short form.

7.4 Chargebacks

If you think a payment was taken in error, please email us first: we will usually refund faster than a card dispute. If a chargeback is raised on a fee, we may pause the accounts bought with that fee until it is resolved. Approved payouts on other accounts are not affected. If the chargeback is resolved in your favour, the fee is returned to you, so the accounts bought with it are closed: payouts already paid on them are not reclaimed, but no new payout can be requested from them. If it is resolved in our favour, the accounts are reopened.

7.5 Crypto payments

  1. If you pay in crypto, the price is the US dollar price in section 4. We accept USDT, USDC, BTC and ETH. NOWPayments works out how much of your chosen coin to send. We pay the network fee and the NOWPayments fee on your payment, so you do not pay either of them on top of the price. Your right to cancel and the refunds in this section 7 are the same as for any other payment.
  2. A crypto refund is the US dollar price you paid, in full. We send it in the same coin, on the same network, that you paid with or, if you ask us to, in USDT or USDC. We use the exchange rate on the day we send the refund, so the number of coins may differ from what you sent. We pay the network fee for sending it.
  3. We send a refund only to a wallet that you own or control, at an address you give us in an email from the address you bought with, after you have confirmed the address and network we repeat back to you. You are responsible for giving us a correct address. We cannot reverse or recover a refund sent to the address you confirmed. We do not send refunds to anyone else.
  4. We send a crypto refund within 14 days of your request, and usually within 5 business days of you confirming the address.
  5. Your evaluation starts only when the full amount on the invoice has arrived. If you pay too little and do not pay the rest, we return what arrived, in the same coin, under point 3. If you pay in a coin or on a network the invoice did not ask for, or after the invoice has expired, NOWPayments' own process applies, and we will help you through it.
  6. Crypto payments cannot be reversed through a bank or a card dispute, so section 7.4 does not apply to them. Please email us about any problem with a crypto payment.

8. Prohibited conduct

This list is complete. We will not end an account or refuse a payout for any reason not listed here or in the rules. Section 5 of the rules sets out the test we use to detect each item where a test is needed.

  1. Multi-accounting. Holding more than one OmbraProp customer account, or holding accounts under another person's identity, or letting someone else hold accounts for you.
  2. Account sharing and third-party management. Letting anyone else log in to or trade your accounts, or trading anyone else's account, whether paid or not.
  3. Hedging across accounts. Holding opposite positions in the same or a correlated instrument across OmbraProp accounts held by you, or by you and other people acting together.
  4. Hedging across firms. Holding a position on an OmbraProp account that is opposite to a position you hold, or cause to be held, at another prop firm, broker or platform in the same or a correlated instrument, so that the result on one offsets the result on the other. We act on this only where we have evidence, which we share with you. We never use data from Ombra Platform or Ombra Watch to look for it, even if your accounts are linked.
  5. Exploiting latency or data errors. Using a delay, a price feed error, a stale or incorrect quote, a platform bug, or fills that could not happen in a real market (for example in an illiquid contract month listed as excluded) to make simulated profit.
  6. Copy trading outside the allowed limits. You may use a trade copier, or your own software, to copy trades only between your own OmbraProp accounts (the evaluations and the funded account you may hold under section 6.3), and only in the same direction as the source: a long when the source is long, a short when it is short. Copy sizes may differ, within each account's contract limits. You may not use a copier, or any other method, to:
    • copy trades into OmbraProp from an account at another prop firm, broker or platform, even one in your own name;
    • copy, mirror or follow another person's trades or account, or let anyone copy your trades into their OmbraProp account;
    • copy in the opposite direction, between your OmbraProp accounts or to or from any other account, so that one result offsets another (this is also hedging under 8.3 or 8.4);
    • run an automated signal feed that places trades in your account on someone else's instructions.
    You may make your own decisions using ideas, analysis or alerts from anyone: what matters is that you, or software you control, place the trades. Bots and algorithms that you run yourself on your own accounts are allowed. Section 6.5 applies to any copier or software you use.
  7. Coordinated trading. Acting with other people so that one person's account is likely to win a payout while another's is likely to fail.
  8. False information. Giving false identity, address, country or payout details, or using a VPN or other means to hide that you are in a country we do not serve or a sanctioned country. VPN and VPS use is otherwise allowed.
  9. Interfering with the service. Attacking, overloading or trying to break into our systems or the trading platform, or abusive behaviour towards our staff.
  10. Order abuse. Placing orders you do not intend to be filled in order to mislead (spoofing or layering), trading with yourself across accounts (wash trades), or sending orders so fast or so often that it affects the trading platform (order spam). Too fast means more than 50 order actions (new orders, changes and cancellations together) in any 10 seconds on one account, or more than 2,000 in one trading day, as published in section 5 of the rules.
  11. Misusing the site or dashboard. Breaking the acceptable use limits in section 17.6: copying, reselling or scraping the dashboard, or automating access to it other than through an interface we publish for that purpose.

Flipping (warnings, not a breach). A flip is a trade opened and closed within 30 seconds. Flipping is not on the list above and does not end an account or refuse a payout. Each trading day with at least one flip gives your account a warning, shown on your dashboard and kept on record. On the second warning your account goes into manual review: payouts wait until a person has reviewed the account, and we tell you the outcome. Rules section 5 sets this out.

9. Breaches and ending accounts

  1. Rule breach (for example reaching the maximum loss). The account ends automatically when the software detects the breach. This is a fail, not a penalty. The fee is not refunded (except under 9.6).
  2. Daily loss limit. Where your account has a daily loss limit (Express 50K, if you chose it), reaching it closes your positions and pauses the account until the next session. It is not a fail.
  3. Prohibited conduct. If we have evidence of conduct listed in section 8 on an account, we may: (a) hold payouts on the affected accounts while we review it, for no more than 5 business days, and tell you why; and then (b) end the affected accounts and refuse payouts that come from the trades involved. Payouts already paid for earlier periods, not affected by the conduct, are not clawed back unless they were obtained by fraud or false identity.
  4. Evidence. For every breach and every refusal we send you the evidence: the rule or section, the trades, the timestamps and the platform data we relied on.
  5. Appeal. You may appeal within 14 days of receiving the evidence by emailing prop@ombratrading.com. A person reviews it and we answer within 5 business days. If we uphold your appeal, the account is reinstated and any payout due is paid.
  6. Platform fault. If the trading platform or our systems were at fault when a breach happened (for example stale data, an outage, or a liquidation error), the account is reinstated or, if that is not possible, the fee for that account is refunded in full. A fault in your own copier, bot or other software is not a platform fault (section 6.5).
  7. Ending for eligibility. If you stop meeting section 3 (for example you move to a country we do not serve or become subject to sanctions), we may end your accounts. Where the law allows, approved payouts are paid and the fee for any evaluation with no trades is refunded. Where sanctions law prevents a payment, we must hold it as the law requires.
  8. Automated checks, and a person decides. Our software checks trades and sign-up details for the conduct listed in section 8. It can flag an account and hold a payout under 9.3, but it never ends an account or refuses a payout for prohibited conduct on its own: a person reviews every flag, decides, and sends you the evidence under 9.4. The data the checks use is listed in the privacy notice. We do not share it with other prop firms unless the law requires it. Rule breaches under 9.1 and 9.2 (for example reaching the maximum loss) are applied by software because that is how the evaluation works, and you can ask for a person to review them through 9.5.

10. Identity checks

  1. We use an identity check provider (to be confirmed before OmbraProp opens) to check your identity. The check may include a photo of your identity document, a selfie or short video (liveness check), proof of address and screening against sanctions and politically exposed persons lists.
  2. You must pass the check before your first funded account and before your first payout. We may repeat sanctions screening before any payout.
  3. The name on your payout account must match the name on your identity check.
  4. If you fail the check, or do not complete it within 30 days of being asked, we cannot give you a funded account or pay you. If this happens before you have placed a trade on your evaluation, you may ask for a full refund.

11. Payouts

  1. Eligibility, amount and frequency are set out in section 4 of the rules (ruleset R1.2). In short: a minimum payout of $500; on Standard, 5 qualifying days in the payout cycle; on Express, the consistency and buffer conditions in the rules; and on both plans at least 10 trading days between payouts (11.6).
  2. Split. On each funded account you receive 100% of the first $5,000 of payouts in total. After that you receive 90% of the eligible amount and OmbraProp keeps 10%. A payout that crosses $5,000 is split at that point.
  3. One funded account per person. Each person may hold one funded account at a time.
  4. Limits per request and per month. Payouts have limits per request and per month. A person reviews every payout before it is paid. If an approved payout is larger than a monthly limit allows, the rest stays approved and is paid in the next calendar month (or months).
  5. Payout reserve. Payouts are backed by a payout reserve held in a separate bank account and used only for payouts. Separately, we sell at most 75 evaluations a month at launch, as a capacity limit (section 4.6).
  6. At least 10 trading days between payouts. After a payout, you can request the next one only once your account has had at least 10 trading days since that payout, on simulated funded accounts and on live accounts. For this rule, a trading day is a session (ending at the 17:00 US Central close) with at least one filled trade in which your account made at least $100 net profit. Days with less profit, or a loss, do not count but do not reset the count. Your first payout has no waiting time.
  7. Payouts carried to a later month. Approved payouts are not refused. Any part carried to a later month under 11.4 is paid in the order the requests were made, at the start of that month. We will email everyone affected.
  8. Timing. We decide a payout request within 1 business day and pay it within 2 business days of approval, unless a monthly limit means part of it is paid the next month. Every payout is reviewed and released by a person. If we miss either deadline, you receive the fixed credit set out in the rules.
  9. Method. Payouts are paid in US dollars by bank transfer or a payout provider (to be confirmed before OmbraProp opens) to an account in your own name. We pay our own sending fees. Fees charged by your bank or payout provider, and any currency conversion, are yours.
  10. Approved payouts are owed. Once we approve a payout, it is a sum we owe you, subject only to section 9.3 if evidence of fraud or false identity comes to light before payment, and to sanctions law.
  11. Tax. You are responsible for any tax on payouts you receive, and for reporting them where you live. We do not deduct tax unless the law requires us to. We may ask you for a tax form or tax number if the law or our payout provider requires it.

12. Our responsibility to you

  1. We will provide OmbraProp with reasonable care and skill, as described in these terms and the rules.
  2. What we are responsible for. If we break these terms, we are responsible for loss you suffer that was a foreseeable result of our breach. Loss is foreseeable if it was obvious it would happen, or if both of us knew it might happen when you bought.
  3. What we are not responsible for. As far as the law allows, we are not responsible for: losses on any real trading account, at any broker or at any other prop firm; loss of hoped-for payouts or income, except a payout that meets every condition in these terms and the rules; losses caused by your own equipment, internet connection or software; or events outside our reasonable control (for example a platform outage, where section 9.6 applies instead). You never bear losses on an OmbraProp live account (section 18.6).
  4. Limit. Our total responsibility to you, for everything arising from these terms, is limited to the total fees you paid us in the 12 months before the event, plus any payout we have approved and not yet paid, plus any final payout due under section 14, plus any refund owed under these terms.
  5. What we never limit. Nothing in these terms limits or excludes our responsibility for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for anything else that the law does not allow us to limit, including your statutory rights as a consumer (for example under the Consumer Rights Act 2015).

13. Changes to these terms

  1. We may change these terms for new purchases. We will publish the new version, with its version number and date, at least 14 days before it applies.
  2. A change to these terms never applies to an evaluation or funded account you have already paid for to your disadvantage, except where section 5.5 applies (a change we cannot avoid), in which case you have the choices set out there.
  3. We will email you about any change that affects an account you hold.

14. If OmbraProp closes or pauses

14.1 If OmbraProp closes

If we decide to stop offering OmbraProp, or cannot continue:

  1. we stop new sales at once and email every customer;
  2. we give at least 30 days' notice of the closing date. If the law, a sanction or the loss of our trading platform makes that impossible, we give as much notice as we can;
  3. evaluations not yet passed are refunded in full, whether or not you have traded on them;
  4. funded accounts stay open under their rules until the closing date, and you can make payout requests as usual during the notice period;
  5. on the closing date, each funded account gets a final payout: the amount you could request under the rules if you asked that day, except that the $500 minimum and the waiting time between payouts do not apply. The per-request limit, the buffer, the consistency rule and the split in 11.2 apply as usual. If the platform has stopped, we use the last balance it reported;
  6. every approved payout and every final payout is paid. They still count against the monthly limits in section 11. Anything above a limit is paid in the following month (or months), in the order the requests were made, until all of it is paid;
  7. the payout reserve is used for these payouts and refunds before anything else.

Nothing else is owed on a funded account when OmbraProp closes. In particular, nothing is owed for profit that might have been made after the closing date.

14.2 If OmbraProp pauses

If we have to pause OmbraProp (for example because the trading platform or the payment processor stops working with us for a time):

  1. new sales stop and we email every customer;
  2. approved payouts are still paid;
  3. no account is failed or closed because it could not be traded during the pause;
  4. if trading is stopped for more than 30 days in a row, you may choose to close any evaluation not yet passed for a full refund, and any funded account for a final payout worked out as in 14.1.5. We may also decide to close OmbraProp under 14.1.

14.3 If payouts are carried to a later month

Approved payouts are not refused. Section 11.7 applies: they are paid in request order in the next month (or months).

15. Complaints

If something goes wrong, please email prop@ombratrading.com with "Complaint" in the subject. We acknowledge it within 2 business days and give a full answer within 14 days. If we need longer, we will tell you why and when to expect an answer.

For a breach or a refused payout, use the appeal route in section 9.5 first.

If we cannot settle your complaint, we will tell you in writing the name of a certified alternative dispute resolution provider and whether we agree to use it. You can also go to court (section 16).

16. Law and courts

These terms are governed by the law of England and Wales. You can bring a claim in the courts of England and Wales. If you live in Scotland or Northern Ireland, you can also bring a claim in your local courts. If you live in another country, you keep any protection given to you by the mandatory consumer law of the country where you live.

17. General

  1. Transfer. We may transfer this agreement to another business that takes over OmbraProp, if your rights are not reduced. We will tell you. You may not transfer your accounts to anyone else.
  2. If a term is invalid. If a court decides that part of these terms is invalid, the rest still applies.
  3. No waiver. If we do not enforce a term straight away, we can still enforce it later.
  4. Third parties. Nobody else has rights under these terms.
  5. Language. These terms are in English, and we will communicate with you in English.
  6. Our intellectual property and acceptable use. The OmbraProp site, dashboard, rulebook and software belong to Ombra Trading. You may use them to trade and manage your own accounts. You may not copy, resell or scrape the dashboard, or automate access to it, other than through any interface we publish for that purpose. Your trades and your personal data stay yours.
  7. Emails we send you. We send service emails about your purchases, accounts, rule changes, breaches, evidence and payouts. You cannot turn these off while you hold an account, because they are part of the service. We send marketing only if you opt in, and you can opt out at any time with the link in every marketing email.
Planned. This section describes a live programme that we plan to add later. It is not available at launch. It depends on a futures broker agreeing to it, on legal, tax and employment checks, and on regulatory questions we have not yet asked. It may change before it opens, or never open. Until it opens, sections 2.2, 2.3 and 2.5 apply to every account: everything is simulated. Before the first live place is offered we will publish the final version of this section and of rules section 7 (ruleset R1.2) at least 14 days in advance, and each live trader will also sign a separate written agreement.

18. Live accounts (planned, not available at launch) Planned

18.1 What a live account is

  1. A live account is a futures account held by Ombra Trading Ltd at a regulated broker. It trades OmbraProp's own money. You trade it under the limits in rules section 7.
  2. You do not own the account or the money in it. You cannot withdraw the starting balance. You have no share in Ombra Trading Ltd, its other accounts or its other income. A live account is not a partnership, an investment or a deposit.
  3. You never deposit money, top up the account or repay a loss. Evaluation fees are never used as live trading capital. Live capital comes from a separate live fund, not from the payout reserve described in section 11.

18.2 Who can have a live account

  1. UK residents can trade a live account only as an employee of Ombra Trading Ltd, under a written employment contract. Where the employment contract gives you more than this section, the employment contract applies.
  2. Residents of other countries, including the United States, trade a live account as an independent contractor, under a written contractor agreement, and only if their country is on the published live countries list. This is pending checks with the broker and on each country's law.
  3. If live trading is not possible for your country after these checks, your simulated funded account closes with a final payout under section 14.1.5 instead.
  4. You must also meet the qualifying conditions in rules section 7, pass any extra identity, sanctions or right-to-work checks the broker or the law requires, and meet section 3 of these terms.

18.3 The queue and the move to live

  1. Places. There are at most 3 live accounts at a time.
  2. Queue. When your 3rd payout from your simulated funded account is approved, you join the queue. Places are offered in the order traders qualified. While you wait, your simulated funded account carries on and you can request payouts under the rules as usual.
  3. The move is required. When a place is free and it is your turn, moving to a live account is part of your funded account and is not optional. We give you at least 14 days' written notice of the move date. You may ask once for up to 14 more days if you have a good reason, and we will not refuse a reasonable request.
  4. If you decline. If you decline, or do not sign the agreement and complete the broker's forms by the move date, your simulated funded account closes on the move date with a final payout worked out as in section 14.1.5. Declining is not a breach. Approved payouts are still paid, and you can buy new evaluations.
  5. What carries over. At the session close on the move date your simulated funded account closes. Your profit above its simulated starting balance becomes the live starting balance, capped at $5,000. Profit above $5,000 does not carry over; you can request payouts as usual during the notice period. If the profit that carries over is less than $2,000 (minimum), including $0, we add the difference. The carry-over is not a payout and does not count against the monthly limits in section 11.
  6. If we cannot take you. If we cannot offer you a place for a reason that is not your fault, your simulated funded account carries on under the rules and we tell you why.

18.4 When we can delay or decline a move

We may delay or decline your move to live only for these reasons:

  1. the broker or the clearing firm does not accept you, or residents of your country;
  2. the law, a regulator or a sanction prevents it;
  3. you do not pass the identity, sanctions or right-to-work checks for a live account;
  4. a conduct review under section 9.3 is open on your accounts; or
  5. the live fund is below the level needed to open a new place safely.

We tell you the reason in writing, unless the law stops us. A delay or refusal never closes or changes your simulated funded account or its payouts. For reasons 1, 2 and 5 you keep your place in the queue.

18.5 Live payouts and the 80/20 split

  1. Live payouts are paid only from real, closed profit in your live account, under rules section 7.
  2. You receive 80% of each eligible amount and OmbraProp keeps 20%.
  3. Employees are paid through payroll, with income tax and National Insurance deducted. Contractors are paid a fee and are responsible for their own tax.
  4. Live payouts are not counted against the monthly limits in section 11. At least 10 trading days are needed between live payouts, counted as in 11.6.

18.6 Real-money losses are never charged to you

You never pay for a loss on a live account. That includes losses beyond the max loss floor, a negative balance, slippage, gaps, outages, and positions closed by the broker. We will not ask you to repay, top up or cover any of it, or take it from any payout or wage. This does not stop us from ending a live account or refusing payouts from trades involved in a proven breach of section 8.

18.7 The broker's rules and risk systems

Live trading follows the broker's and the clearing firm's own rules, margins, position limits and risk systems. They may refuse an order, raise a margin, restrict a product or close positions. If they do, it is not a breach by you. Where their limits are tighter than ours, theirs apply.

18.8 When we can pause or end a live account

We may pause or end a live account only for these reasons:

  1. you reach the max loss in rules section 7;
  2. a breach listed in section 8, with the evidence and the appeal route in section 9;
  3. the broker or the clearing firm requires it;
  4. the law, a regulator or a sanction requires it;
  5. a suspected security problem with your login or account (a pause of no more than 5 business days, and we tell you why);
  6. you stop meeting section 18.2;
  7. no live trade for 30 days in a row, after 14 days' notice;
  8. your employment or contractor agreement ends under its own terms; or
  9. we close the live programme, with at least 30 days' notice where we can.

When a live account ends for any reason except 1, you receive a final live payout of 80% of your closed profit above the starting balance, less any profit from trades involved in a proven breach. You can also end your live account at any time with 5 business days' notice and receive the same final live payout. If our systems were at fault when an account was ended, we reinstate it with the limits it had before.

18.9 Changes to live rules

The live rules in force on your move date apply to your live account. We change them for an existing live account only (a) where the broker, the law or a regulator requires it, with as much notice as we can give and at least 14 days where possible, or (b) where the change is only to your benefit.

18.10 Market data and your information

  1. Live accounts need professional market data. We pay for it, and for the trading platform. You may use it only for your live account, on the devices we set up, and must not share it.
  2. To open your live account we give the broker the identity details it needs for its authorised trader forms. The privacy notice will say this before the programme opens.
